Terms & Conditions of Sale

1. General

All purchases from Aerodynamic Supply (the “Seller”) are subject to the following Terms and Conditions unless otherwise agreed in writing by an authorized officer of the Seller and the Buyer.

2. Delivery and Risk of Loss

All parts are delivered F.O.B. Aerodynamic Supply’s facility. Risk of loss transfers to the Buyer upon delivery to the carrier or the Buyer’s representative. If the Buyer does not provide shipping instructions, Aerodynamic Supply is not liable for delays or damages during transit.

3. Payment Terms

Unless otherwise noted, invoices are due within 30 days from the invoice date in U.S. Dollars. Late payments will incur a 2.5% monthly interest fee. The Buyer is responsible for any collection costs, including attorney fees and court costs.

4. Taxes and Duties

Prices exclude sales tax, duties, VAT, or other applicable taxes. The Buyer is responsible for all such charges related to the purchase or use of the parts.

5. Inspection, Returns, and Credits

Buyer must inspect parts within 48 hours of receipt. Return requests must be made within 7 days and returns must be authorized and received within 10 days of the Seller’s ship date. All returns must include original paperwork. Authorized returns may be refunded, replaced, or credited at Aerodynamic Supply’s discretion. We are not liable for incidental or consequential damages due to defective or damaged goods.

6. Restocking and Cancellation Fees

Returns may be subject to a 25% restocking fee or a 15% cancellation fee. Returns are not accepted after 30 days from the invoice date.

7. Warranty

Aerodynamic Supply warrants parts as follows:

  • New or New Surplus (NS): 30 days from invoice

  • Overhauled: 1 year from overhaul date

  • Serviceable: 6 months from repair date

  • Inspected: 30 days from invoice
    All warranty claims must be submitted at least 30 days before expiration. No warranty is given beyond these terms. Unless specified, parts are sold “AS IS”, with no implied warranty of merchantability or fitness for a particular purpose.

8. Limitation of Liability

In no event shall Aerodynamic Supply or its affiliates be liable for indirect, special, or consequential damages, including lost profits or downtime. Liability is strictly limited to the purchase price of the part. No claim may be brought more than one year after the cause of action accrues.

9. Security Interest

Aerodynamic Supply retains a purchase money security interest in all goods until payment is received in full. In case of default, Aerodynamic Supply may reclaim the goods per California law, with 15 days’ notice deemed reasonable.

10. Governing Law and Jurisdiction

This agreement is governed by the laws of the State of California. Any legal actions must be filed in California courts, and both parties consent to jurisdiction therein. If any term is deemed unenforceable, all other terms remain in effect.

11. Assignability

This agreement binds both parties and their successors. Buyer may not assign this agreement without written approval from Aerodynamic Supply.

12. Entire Agreement

These Terms & Conditions constitute the entire agreement. Any conflicting terms in the Buyer’s purchase order are rejected unless accepted in writing by Aerodynamic Supply.

Quality Terms & Conditions

TC01 – Right of Entry

Buyer, their customers, and regulatory agencies have the right to access Aerodynamic Supply’s facilities for inspection and compliance purposes.

TC02 – Record Retention

Supplier must retain all quality and manufacturing records for a minimum of 7 years, or as specified in the purchase order.

TC03 – Amendments

Modifications must be confirmed in writing via a formal purchase order change or quality clause revision.

TC04 – Nonconforming Products

Supplier must notify Aerodynamic Supply of any nonconforming product discovered post-shipment and obtain written approval for any deviations.

TC05 – Traceability

All materials and documentation must be traceable via manufacturing lot or batch numbers.

TC06 – Quality Management System

Suppliers must maintain a quality system compliant with AS9100 and/or ISO9001.

TC07 – Change Notification

Suppliers must notify Aerodynamic Supply of changes in products, processes, suppliers, or facility location.

TC08 – Flow Down Requirements

Suppliers must flow down applicable customer and regulatory requirements to their supply chain.

TC09 – Personnel Qualifications

Personnel performing key processes must be qualified per purchase order requirements.

TC10 – Certificate of Conformance

Must be provided when required by the purchase order.

TC11 – Test Reports

Must be included as specified by the purchase order.

TC12 – ITAR Compliance

ITAR controls must be applied when indicated.

TC13 – DFARS Compliance

DFARS controls must be applied when required.
